M&As this week: Pregis, OptiGroup, Novio Packaging Group

Pregis has entered a definitive agreement to acquire Free-Flow Packaging International (FP International).

Pregis has entered a definitive agreement to acquire Free-Flow Packaging International (FP International).

The acquisition will enable Pregis to strengthen its geographic position in new international markets and support its growth strategy.

Based in the US, Pregis is engaged in the manufacture of protective packaging materials, equipment systems and surface protection solutions.

FP International manufactures protective packaging products and packaging systems.

OptiGroup has reached an agreement for the acquisition of Packagegroup Moonen.

Based in Sweden, OptiGroup distributes a variety of business essentials, while Packagegroup Moonen is a Netherlands-based packaging distributor offering customised packaging solutions.

Novio Packaging Group has acquired primary personal care packaging manufacturer Zeewolde.

Zeewolde’s customers are typically private labels and A-brands.

Akomex has acquired Plano Pack, a Denmark-based packaging company.

Akomex produces packaging products made of corrugated and solid cardboard, while Plano Pack produces plastic-laminated cardboard for the food industry.

Stone Canyon Industries (SCI) has entered a definitive agreement to acquire the parent holding company of Industrial Container Services (ICS) for approximately $1bn.

SCI is conducting business through its subsidiary BWAY Holding. ICS’ equity shareholders will receive cash and an 11% stock consideration from BWAY.

BWAY has received debt financing commitments from Bank of America Merrill Lynch, Goldman Sachs Bank USA, BMO Capital Markets and Citigroup Global Markets for the transaction.

SCI is a US-based investment firm, while ICS is engaged in the manufacture of container products and is majority-owned by investment funds affiliated with Centerbridge Partners.

BWAY is engaged in the supply of industrial rigid packaging products and services.

Kairos Industries has acquired Feldmuehle Uetersen through its subsidiary.

Based in Germany, Kairos Industries specialises in acquiring and providing operational support to medium-sized companies, while Feldmuehle Uetersen is engaged in the manufacture of label and packaging paper, graphic kraftliner, solid bleached board (SBS) board, and coated fine paper.

Kairos has engaged Morrison & Foerster as the legal advisor for the deal and Crowe Kleeberg as financial advisor.

Mark Andy has completed an acquisition of Brandtjen & Kluge, a producer of print-finishing equipment for foil stamping, die cutting, folding and glueing, as well as ultraviolet (UV) coatings.

The acquisition is expected to enable Mark Andy to increase its profitability and expand its product portfolio.

Marvinpac has acquired a minority stake in Strand Cosmetics Europe, a France-based cosmetics company.

The acquisition will enable the two companies to deliver better services to the global cosmetics market.
