Shareholders at TC Transcontinental have voted in favour of selling the company’s packaging sector to ProAmpac Holdings.

Approval was secured at a special shareholder meeting, with 99.98% of votes supporting the deal, well above the required threshold.

The outcome follows a deal sealed in December 2025, under which ProAmpac agreed to acquire all shares related to TC Transcontinental’s packaging operations for $1.51bn. 

Completion of the sale is anticipated in the first quarter of 2026, contingent on regulatory review and other standard closing conditions.

US-based flexible packaging company ProAmpac plans to add manufacturing locations in North America, Latin America, the UK and New Zealand as a result of this transaction.

For the 12 months ending 27 July 2025, TC Transcontinental Packaging reported revenues of approximately $1.2bn.

The business has 25 production sites and 3,500 employees, the group said in December.

Its client base includes companies in a wide range of sectors, including agriculture, beverages, consumer goods and home and personal care.

Outside packaging, Transcontinental continues to operate in retail marketing, printing and French-language publishing.

ProAmpac is owned by PPC in partnership with ProAmpac’s management team and other investors.

At the time of the deal’s announcement, Transcontinental board executive chair Isabelle Marcoux said: “I believe that TCP has found an exciting new home with ProAmpac.
