The transaction is due to be completed in Q4 2026, contingent on customary closing conditions.

Sabert was established in 1983 and is based in Sayreville, New Jersey. The company makes packaging products using plastic, paper and moulded fibre.

It has 13 production sites worldwide, nine of them in the US, and supplies customers across the food and beverage market.

Its customer base includes foodservice distributors, supermarkets, grocery retailers, quick-service restaurants (QSRs), and processors of fresh protein and other food products.

The company also has more than 400 product patents, supported by research, tooling and product development resources.

Sabert founder and executive chairman Albert Salama said: “For more than four decades, Sabert has been focused on developing unique solutions that help our customers respond to the changing ways consumers eat and live.

“Butterfly’s deep expertise and understanding of our customers and end markets make them an ideal partner for our next chapter. We look forward to working together to continue investing in innovation and delivering exceptional products and services to our customers.”

Salama will keep a minority stake after the deal closes. The company said his stake size will be “meaningful” but did not divulge specifics.

For Butterfly Equity, the transaction adds to its investments in the packaging sector.

In January, the private equity company completed its acquisition of digitally printed flexible packaging producer ePac Holdings from an investor consortium, which included Amcor and Indevco North America.

Butterfly CEO, co-founder and managing partner Adam Waglay said: “Sabert is exactly the type of business we look for at Butterfly: a category-leading player with deep roots across the food ecosystem, differentiated capabilities and tremendous opportunities for continued growth.

“As consumers increasingly prioritise convenience and flexibility in how and where they eat, packaging plays an essential role in enabling the food industry to meet those needs. We are thrilled to partner with Albert, Sabert CEO, Paul McCann, and the entire Sabert team to build on the incredible business they have created.”
