GreenDot chief executive Laurent Auguste is set to become Valorie’s chairman under the revised structure.
At closing, GreenDot delivered an upfront cash payment of €4m ($4.4m).
Subsequent milestone-linked disbursements will cap total expenditure at three times that initial amount, corresponding to approximately two to three times the annual improvement GreenDot anticipates in its earnings before interest, taxes, depreciation and amortisation (EBITDA).
Internal reserves across the GreenDot Group are financing the entire acquisition, requiring no capital deployment or equity issuance from Agilyx.
Valorie and Léko will remain off GreenDot’s consolidated balance sheet.
Léko functions as one of just two state-accredited, non-profit extended producer responsibility (EPR) organisations overseeing household packaging in France.
The entity collects producer fees from consumer brands to underwrite municipal collection networks, sorting facilities, and recycling operations.
Since entering the sector in 2020, Léko increased its top line to €42m for 2025, buoyed by year-on-year growth rates close to 80% across the last two years.
GreenDot intends to lift Léko’s domestic market share in household packaging to 10%, relying on three core operational integrations.
Operationally, Léko will channel higher volumes of superior-grade material directly into GreenDot’s mechanical recycling facilities.
This feedstock allocation is intended to underpin capacity growth mandated by the EU Packaging and Packaging Waste Regulation (PPWR).
Commercial clients will also gain dual-market EPR coverage across France and Germany via a unified framework.
This includes GreenDot’s Authorised Representative compliance support alongside an AI-driven compliance tool produced in collaboration with osapiens.
Finally, Léko will incorporate GreenDot’s established digital platforms, software tools, and account administration teams, a move expected to curb running costs in both France and Germany.
